IN NO EVENT WILL NATIONWIDE, ITS SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS AND DIRECTORS BE LIABLE TO YOU FOR ANY PUNITIVE, INDIRECT, DIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING ANY LOST PROFITS, COSTS OF PROCURING SUBSTITUTE SERVICE OR LOST OPPORTUNITY, EVEN IF YOU HAVE NOTIFIED NATIONWIDE ABOUT THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIMS BY ANY THIRD PARTIES ARISING OUT OF OR IN ANY WAY RELATED TO THE ACCESS, USE OR CONTENT OF THE SITE OR A LINKED WEBSITE WHETHER SUCH CLAIMS ARE BROUGHT UNDER ANY THEORY OF LAW OR EQUITY.

Nationwide reserves the right to seek all other remedies available at law and in equity. You agree, at your own expense, to defend, indemnify and hold Nationwide harmless from any claim or demand, including reasonable attorneys’ fees, made by a third party in connection with or arising out of your access to, or use of, the Site or any of the Content in a manner other than as expressly authorized by the Terms and Conditions, your breach of the Terms and Conditions, or your violation of applicable laws or any rights of any third party.

5.2. Trademark Notice

You are prohibited from using any Marks for any purpose including, but not limited to, use on other materials, in presentations, as domain names, or as metatags, without the written permission of Nationwide.

The following are some of the most commonly used service marks of Nationwide that may appear on the Site: Nationwide®, the Nationwide framemark, On Your Side®, Nationwide is On Your Side®, Join the Nation and design, and Vanishing Deductible®. Other Marks (whether registered or not), which are the property of Nationwide, also exist throughout the Site.

The fact that Nationwide has linked to another website is not an endorsement, authorization, express or implied sponsorship, or affiliation with respect to the linked-to websites, their owners, sponsors, or providers.

7. Information about the Operation of the Site

Nationwide operates the Site from its offices within the United States. Nationwide does not represent that Content on the Site is appropriate or applicable for use in any other country, and access from certain countries other than the United States may be strictly prohibited. You acknowledge and agree that you are accessing the Site on your own initiative, at your own risk, and are responsible for compliance with all local laws. These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States and the State of Ohio. You consent to exclusive jurisdiction and venue in Franklin County, Ohio, and waive the defense of forum non conveniens.

8. Submissions of Unsolicited Ideas

Nationwide values your feedback; however, we ask that you not submit to us any suggestions, materials, ideas or creative concepts for new, modified or different products or services via the Site. Nationwide requests this in order to avoid confusion in the future regarding the origin of the concept, product or service.

If, despite our request that you not send us any creative materials, you still send us creative suggestions, ideas, concepts or other information (collectively, the “Information”), such Information shall be deemed by Nationwide to be, and shall remain, the property of Nationwide. None of the Information shall be subject to any obligation of confidence on the part of Nationwide and Nationwide shall not be liable for any use or disclosure of any Information. Without limiting the foregoing, Nationwide shall exclusively own all rights to the Information of every kind and nature and shall be entitled to unrestricted use of the Information for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the Information.

9. Visitor Comments

All communications initiated by you (also defined herein as a “Visitor”) and made to or through portions of the Site that permit uploading of video, questions, comments or other material are hereby considered “Visitor Comments.”

By submitting any content to Nationwide, you represent and warrant that:

  • You are the sole author and owner of the content and own all intellectual property rights thereto;
  • You have waived all “moral rights” that you may have in such content;
  • All content that you post is accurate and truthful;
  • You are at least 13 years old;
  • Use of the content you supply does not violate these Terms and Conditions and will not cause injury to anyone.

You further agree and warrant that you shall not submit any content:

  • That is known by you to be false, inaccurate or misleading;
  • That relates to an open insurance claim or litigation;
  • That infringes any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
  • That violates any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);
  • That is, or may reasonably be considered to be, indecent, profane (either directly or indirectly through partially obscured words, letters, phrases, terminology or the like), threatening, derogatory, defamatory, libelous, hateful, racially or religiously biased or offensive, unlawfully threatening or unlawfully harassing to any individual, partnership or corporation;
  • For which you were compensated or granted any consideration by any third party;
  • That includes any information that references other websites, addresses, email addresses, contact information or phone numbers;
  • That are or purport to be the personally identifiable information about others, such as full name, postal address, email address, telephone number or any other personal attribute which would constitute harassment or an invasion of privacy, or which are counter to Nationwide’s Privacy Policy;

  • That constitutes commercial solicitation; or
  • That contains any computer viruses, worms or other potentially damaging computer programs or files.

You agree to indemnify and hold Nationwide (and its officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers), harmless from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown including reasonable attorneys’ fees, arising out of a breach of your representations and warranties set forth above, or your violation of any law or the rights of a third party.

Where an email address is required to upload Visitor Comments, you agree to use a valid email address and represent that you are the individual identified by the address. If you wish to submit materials to the Site, you are prohibited from impersonating any other individual or entity, or otherwise mislead as to the origination of the Visitor Comments. Nationwide and its third-party service providers may use your email address to contact you about the status of your Visitor Comments and for other administrative purposes.

For any content that you submit, you grant Nationwide a perpetual, irrevocable, royalty-free, transferable, right and license to use, edit, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium or technology, including into those forms that may constitute advertising, throughout the world without compensation to you. If you submit content, you are also hereby granting to Nationwide the nonexclusive right to seek enjoinment and possible damages from any third party who otherwise uses Visitor Comments in an unauthorized way or through unauthorized reproduction of any Visitor Comments.

Content you submit may, or may not be displayed or attributed to you. Nationwide reserves the right to select among the Visitor Comments for the most appropriate material to be used, subject to Nationwide’s sole discretion and judgment. Nationwide reserves the right to change, condense or delete any content on Nationwide’s website that Nationwide deems, in its sole discretion, to violate the content guidelines or any other provision of these Terms and Conditions. Nationwide does not guarantee that you will have any recourse through Nationwide to edit or delete any content you have submitted. Nationwide reserves the right to remove or to refuse to post any submission for any reason. You acknowledge that you, not Nationwide, are responsible for the contents of your submission. None of the content that you submit shall be subject to any obligation of confidence on the part of Nationwide, its agents, subsidiaries, affiliates, partners or third-party service providers and their respective directors, officers and employees.

Visitors also hereby agree to not redistribute or reproduce elsewhere Visitor Comments in any manner or in any media, including the resubmission or republishing of any Visitor Comments on any other site not affiliated with Nationwide.

Nationwide does not endorse any Visitor Comments, or any opinion, recommendation, or advice expressed therein, and Nationwide expressly disclaims any and all liability in connection with Visitor Comments. Nationwide does not permit copyright infringing activities and infringement of intellectual property rights on the Site, and Nationwide will remove Visitor Comments if properly notified that such Visitor Comments infringe on another’s intellectual property rights. 11. Read More Information about this Agreement

11.1. Entire Agreement

Except to the extent otherwise set forth in the Terms and Conditions, these Terms and Conditions set forth the entire understanding between Nationwide and you with respect to your access to, and use of, the Site and its Content and supersedes all prior or contemporaneous understandings regarding access and use.

11.2. Severability

If any portion of these Terms and Conditions is found to be unenforceable, the remaining sections of the Terms and Conditions will remain in effect.

11.3. Waiver

Failure by Nationwide, in any instance, to exercise any of its rights under the Terms and Conditions will not constitute waiver of such right or any other rights under the Terms and Conditions.
